1. Introduction
Welcome to the KiinOS Platform ("Platform") provided by Kiin AI Ltd ("Kiin AI", "we", "us", or "our"), a company registered in England and Wales. These Terms and Conditions ("Terms") govern your access to and use of the Platform, which is available exclusively to invited researchers and academic users ("User", "you", or "your"). By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.
2. Definitions
"Authorised User" means an individual who has been invited by Kiin AI and provided with login credentials to access and use the Platform.
"Confidential Information" means any non-public information disclosed by Kiin AI, including but not limited to Documentation, business plans, technical data, product designs, and other confidential or proprietary information or trade secrets obtained directly or indirectly through the use or demonstration of the Platform.
"Documentation" means any user manuals, guides, or other materials provided by Kiin AI to assist Users in using the Platform.
"Feedback" means any comments, suggestions, or ideas provided by Users regarding the Platform's features, functionality, or performance.
"Inputs" means any data (including metadata), information, or materials that you generate or directly provide to the Platform for processing or analysis.
"Outputs" means the results or any data generated by the Platform based on the Inputs provided by you, including without limitation any Platform insights, article summaries, and any other outputs generated using the Platform.
"Personal Data" means any information that relates to an identified or identifiable individual, as defined by applicable data protection laws, including the UK General Data Protection Regulation and the Data Protection Act 2018.
"Research Purpose" means academic, non-commercial research activities.
"Third-Party Software" means software provided by entities other than Kiin AI that may be used in conjunction with the Platform.
3. Eligibility and access
3.1. Invitation-only access
The Platform is available only to individuals who have received an invitation from Kiin AI. We reserve the sole right to determine who may access the Platform, and we may revoke access at any time in our sole discretion.
3.2. Verified identity
To access the Platform, you must provide a verified email address and maintain accurate login credentials. You must not share your login credentials with any other person.
3.3. Limited licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for Research Purposes.
3.4. Non-commercial use
The Platform is provided for Research Purposes only. You may not use the Platform for any commercial purpose, including but not limited to: providing services to third parties for monetary compensation; developing commercial products or services; conducting research on behalf of commercial entities without Kiin AI's prior written consent.
3.5. Service discontinuation
Kiin AI reserves the right to discontinue, suspend, or modify the Platform, or terminate your access to it, at any time and for any reason without prior notice or liability.
4. Intellectual property
4.1. Platform ownership
The Platform, including all software, technology, algorithms, user interface designs, and Documentation, is owned by Kiin AI and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform except for the limited right to use it in accordance with these Terms.
4.2. Research outputs
Subject to your compliance with these Terms, you own all intellectual property rights in the Outputs generated by the Platform based on your Inputs.
4.3. Input ownership
You retain all ownership rights in your Inputs. By submitting Inputs to the Platform, you grant Kiin AI a non-exclusive, worldwide, royalty-free licence to use, reproduce, and process the Inputs solely for the purpose of: providing the Platform services to you; improving and maintaining the Platform; developing and training algorithms to enhance the Platform's capabilities; and complying with legal obligations.
4.4. Feedback licence
By providing Feedback, you grant Kiin AI a worldwide, perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such Feedback into the Platform without any obligation to you.
4.5. Usage insights
You agree that Kiin AI may collect, analyse, and use anonymised and aggregated information about how you use the Platform to improve and enhance the Platform. This may include usage patterns, performance metrics, and feature popularity.
4.6. Citation requirement
If you publish research that incorporates or is derived from your use of the Platform, you must acknowledge and cite Kiin AI and the Platform in your publication in a format specified in the Documentation.
5. User responsibilities
5.1. Prohibited data
You must not upload, process, or store on the Platform: clinical or health data that contains personally identifiable information; personal data that can directly or indirectly identify individuals; commercially licensed data for which you do not have appropriate permission; data subject to contractual restrictions that prohibit its use on the Platform; sensitive company data or trade secrets; any data that you do not have the legal right to share or use with the Platform.
5.2. Prohibited activities
You must not: conduct research intended to cause harm, including but not limited to designing toxins, pathogens, or weapons; use the Platform to develop technologies that could foreseeably be used to harm, exploit, or deceive people; attempt to bypass or circumvent any Platform security measures; reverse engineer, decompile, or disassemble the Platform; introduce any malicious code or virus; use the Platform in a manner that could disable, overburden, or impair its functioning; use automated scripts or bots unless explicitly permitted; share your access credentials with third parties; use the Platform in violation of any applicable law or regulation.
5.3. Responsibility for inputs
You accept full responsibility for all Inputs that you upload to the Platform. You represent and warrant that: you have all necessary rights, permissions, and consents to provide the Inputs; the Inputs do not infringe on any third-party intellectual property or other rights; the Inputs comply with all applicable laws and regulations.
5.4. Accuracy of outputs
You acknowledge that the Platform is provided for research purposes and that Outputs may not always be accurate, complete, or suitable for your intended purpose. You are responsible for critically evaluating all Outputs before relying on them.
6. Fair usage policy
6.1. Resource allocation
Kiin AI will store up to 20 GB of data for each Authorised User. This limit may be adjusted at Kiin AI's discretion.
6.2. Resource monitoring
Kiin AI reserves the right to monitor your use of the Platform to ensure compliance with these Terms and to maintain service quality for all users.
6.3. Resource restrictions
If Kiin AI identifies that your use of the Platform is negatively impacting system performance or availability for other users, Kiin AI may: limit your computational resources; implement queue priorities for your tasks; temporarily suspend your access; or permanently terminate your access in cases of repeated or severe misuse.
6.4. Usage guidelines
Kiin AI may publish and update guidelines for fair usage of the Platform, which will be considered part of these Terms when published.
7. Privacy and data security
7.1. Data processing
Kiin AI will process any Personal Data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
7.2. Data security
Kiin AI implements reasonable administrative, technical, and physical safeguards designed to protect the Platform and your Inputs. However, no system can be completely secure, and we cannot guarantee that the Platform will be free from security vulnerabilities.
7.3. Data retention
After termination of your access, Kiin AI may retain your Inputs and Outputs as required by law or for legitimate business purposes, such as resolving disputes or enforcing our rights.
8. Term and termination
8.1. Term
These Terms will remain in effect until terminated by either you or Kiin AI.
8.2. Termination by you
You may terminate these Terms by discontinuing use of the Platform and requesting that your account be deleted.
8.3. Termination by Kiin AI
Kiin AI may, in its sole discretion, terminate or suspend your access to the Platform at any time and for any reason without prior notice or liability.
8.4. Effect of termination
Upon termination of these Terms: your licence to use the Platform will immediately terminate; you must cease all use of the Platform; provisions that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.
9. Disclaimer of warranties
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Kiin AI makes no warranty that: the Platform will meet your requirements; the Platform will be uninterrupted, timely, secure, or error-free; the results obtained from the use of the Platform will be accurate, complete, or reliable; the quality of the Platform will meet your expectations.
Any material downloaded or otherwise obtained through the use of the Platform is accessed at your own discretion and risk.
10. Limitation of liability
10.1. Indirect damages
To the maximum extent permitted by applicable law, Kiin AI shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses, even if Kiin AI has been advised of the possibility of such damages.
10.2. Total liability cap
In no event shall Kiin AI's total liability to you for all claims arising from or relating to the Platform exceed £100.
11. Indemnification
You agree to indemnify, defend, and hold harmless Kiin AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with: your access to or use of the Platform; your breach of these Terms; your violation of any third-party right, including any intellectual property, privacy, or data protection right; or any claim that your Inputs caused damage to a third party.
12. General provisions
12.1. Governing law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
12.2. Dispute resolution
Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12.3. Amendments
Kiin AI reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any changes signifies your acceptance of the revised Terms.
12.4. Entire agreement
These Terms constitute the entire agreement between you and Kiin AI regarding the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Platform.
12.5. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
12.6. No waiver
Kiin AI's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
12.7. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without Kiin AI's prior written consent. Kiin AI may freely assign these Terms without restriction.
